Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the soply.io marketing website (the “Site”) and the Soply platform (the “Service”) operated by Soply B.V. (“Soply”, “we”, “us”).

By accessing the Site or signing up for the Service, you agree to be bound by these Terms. If you do not agree, do not use the Site or the Service.

You must be at least 18 years old and able to form a binding contract under the laws of your jurisdiction to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Some features require an account. You are responsible for keeping your credentials confidential and for all activity under your account. Notify us immediately of any unauthorized access at hi@soply.io.

You agree not to:

• Use the Service to violate any law or third-party rights;
• Upload malicious code or attempt to disrupt the Service;
• Reverse-engineer or copy any part of the Service except as permitted by law;
• Resell or sublicense the Service without our prior written consent;
• Use the Service to develop a competing product.

You retain ownership of the videos, documents, images, and other content you submit to the Service (“Customer Content”). You grant Soply a limited, worldwide license to host, process, and display Customer Content solely to provide and improve the Service.

You are responsible for ensuring you have the rights and permissions needed for any Customer Content you upload, including the consent of any individuals shown.

Some plans are paid. Pricing, billing terms, and renewal conditions for paid plans are described in your order form or on the pricing page in effect at the time of purchase. A free tier may be made available subject to usage limits we publish from time to time.

Fees are non-refundable except where required by law. Taxes are the responsibility of the customer unless Soply is legally required to collect them.

Each party agrees to protect the other's confidential information using at least the same degree of care it uses for its own confidential information of like kind, and to use it only for purposes of performing under these Terms.

The Service, including all software, designs, logos, and content provided by Soply, is the property of Soply or its licensors and is protected by intellectual-property laws. Except for the rights expressly granted in these Terms, no rights are transferred to you.

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if required by law. Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination will do so.

The Service is provided “as is” and “as available”. To the maximum extent permitted by law, Soply disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or meet every regulatory requirement applicable to your operations.

To the maximum extent permitted by law, Soply's aggregate liability arising out of or related to these Terms will not exceed the fees paid by you to Soply in the twelve (12) months preceding the event giving rise to the claim. In no event will Soply be liable for indirect, incidental, special, consequential, or punitive damages.

You agree to indemnify and hold Soply harmless from claims, damages, and expenses (including reasonable legal fees) arising from your Customer Content, your use of the Service, or your breach of these Terms.

These Terms are governed by the laws of the Netherlands. Any disputes will be resolved in the competent courts of Amsterdam, the Netherlands, unless otherwise required by mandatory consumer-protection law.

We may update these Terms from time to time. Material changes will be posted on this page with a revised “last updated” date. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
